TERMS OF SERVICE

1. GENERAL PROVISIONS

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between SellerPilot OÜ ("Company", "we", "us"), a company registered in Estonia, and you ("User", "you").

By registering for, accessing, or using the SellerPilot web application, browser extension, or any related services (collectively, the "Service"), you declare that you have read, understood, and agree to be bound by these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

2. ELIGIBILITY

The Service is designed for users who are eighteen (18) years of age or older. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this Agreement.

3. NATURE OF SERVICE AND NON-API DISCLAIMER

3.1. Automation Tool

SellerPilot is a software-as-a-service (SaaS) tool designed to automate certain tasks for e-commerce sellers, such as product research, inventory management, and order processing between marketplaces (e.g., from Amazon to eBay).

3.2. Non-API Operation and Stability

You acknowledge that SellerPilot operates primarily through browser extensions and web automation methods ("Non-API") rather than official API partnerships with third-party platforms.

Third-Party Changes: The Service relies on the structure and layout of third-party websites (e.g., Amazon, eBay). We do not control these platforms. If a third-party platform updates its website interface, SellerPilot may temporarily cease to function.

No Uptime Guarantee: Such interruptions are considered a normal part of the Service's nature. SellerPilot OÜ does not guarantee uninterrupted service and is not liable for any interruption caused by changes to third-party platforms.

3.3. Hybrid Data Processing

The Service operates using a hybrid model. Some data is processed locally on your device (via the browser extension), and some data is processed on our cloud servers. You consent to this hybrid data processing structure.

4. NO AFFILIATION

SellerPilot OÜ is an independent software provider. We are NOT affiliated, associated, authorized, endorsed by, or in any way officially connected with eBay Inc., Amazon.com Inc., or their subsidiaries or affiliated companies.

The names "eBay" and "Amazon" and related names, marks, emblems, and images are registered trademarks of their respective owners.

5. ACCOUNT SUSPENSION AND RISK DISCLAIMER (STRICT)

PLEASE READ THIS SECTION CAREFULLY. THIS SECTION LIMITS OUR LIABILITY.

5.1. User Responsibility

You are solely responsible for your use of the Service and for complying with the Terms of Service, policies, and guidelines of any third-party platform you use (including but not limited to eBay and Amazon).

5.2. No Liability for Bans

SellerPilot OÜ expressly DISCLAIMS ALL LIABILITY for account suspension, restriction, "flagging", termination, or loss of selling privileges on eBay, Amazon, or any other marketplace.

We do not guarantee that the use of our automation tools will always comply with each third-party platform's policies.

Amazon Prime: Using Amazon Prime accounts to fulfill dropshipping orders violates Amazon's Terms of Service. You assume full responsibility for any consequences arising from misuse of Amazon Prime or other services.

5.3. Commercial Risk

E-commerce and dropshipping involve financial risks. SellerPilot is a tool, not a profit guarantee. We are not liable for financial losses, purchasing errors, or pricing errors resulting from use of the Service.

6. SUBSCRIPTION, PAYMENTS, AND CANCELLATION

6.1. Payments

The Service is billed on a subscription basis. Payments are processed securely through Paddle.com Market Limited ("Paddle"), which acts as the Merchant of Record for all transactions. This means Paddle is the legal seller of record for your subscription. Paddle handles all billing, invoicing, sales tax, VAT, and payment processing on our behalf. You agree to provide current, complete, and accurate purchase and account information.

6.2. Merchant of Record and Payment Data

By purchasing a subscription, you acknowledge that your contractual payment relationship is with Paddle, not directly with SellerPilot OÜ. Paddle is responsible for collecting payment, remitting applicable sales taxes and VAT, and issuing invoices and receipts. Payment Data: SellerPilot OÜ does not collect, store, or have access to your credit card numbers, debit card numbers, or any other payment credentials at any time. All payment information is entered directly into and processed exclusively by Paddle's secure payment infrastructure. SellerPilot only receives confirmation of your subscription status (active, cancelled, past due) from Paddle — never your financial data. All payment-related inquiries, including billing disputes, should first be directed to SellerPilot support at support@sellerpilot.io.

6.3. Free Trial

SellerPilot offers a 7-day free trial period for new subscribers. To start the free trial, you are required to enter your payment details through Paddle's secure checkout. No payment will be collected during the trial period; your payment method will only be charged if your trial converts to a paid subscription.

Trial Expiration: If you do not cancel before the end of the 7-day free trial, your subscription will automatically convert to a paid subscription. You will be charged the applicable introductory rate (see Section 6.4) through Paddle at the end of the trial period.

Cancellation During Trial: You may cancel at any time during the free trial from your account dashboard. If you cancel before the trial ends, your payment method will not be charged.

6.4. Introductory Discount

After the 7-day free trial ends, new subscribers will receive a 50% introductory discount on their first paid billing period (approximately 3 weeks remaining in the first month after the trial). This discounted rate applies only to the first billing cycle following the trial and is non-transferable.

Standard Pricing: Starting from the second billing cycle onward, the standard subscription fee as listed on the Pricing page (https://sellerpilot.io/pricing) will apply.

6.5. Auto-Renewal

Your subscription will automatically renew at the end of each billing cycle unless you cancel it from your account dashboard before the renewal date. After the introductory period, renewals will be charged at the standard subscription rate.

6.6. Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of the current paid period (or at the end of the free trial, if cancelled during the trial). You will not be charged again after cancellation takes effect.

7. REFUND POLICY

Refund requests are handled in accordance with Paddle's Refund Policy, available at https://www.paddle.com/legal/refund-policy Paddle's Refund Policy applies to all purchases and takes precedence in the event of any inconsistency with this section.

7.1. Discretionary Refunds

Paddle may, at its sole discretion, issue a refund if a request is submitted within 14 days of the transaction date. All refund requests are reviewed on a case-by-case basis.

7.2. Statutory Rights

If you are located in a jurisdiction that provides statutory withdrawal or refund rights (such as the EU/EEA, UK, Turkey, or other applicable regions), those rights apply in full and are not limited by these Terms. Consumers in the EU/EEA, UK, and Turkey have a 14-day statutory right to withdraw from digital content and service contracts. Nothing in these Terms limits or excludes any rights you may have under mandatory consumer law in your jurisdiction.

7.3. How to Request a Refund

To request a refund, please contact SellerPilot support at support@sellerpilot.io or visit Paddle's buyer support site at https://paddle.net.

8. DATA RETENTION

When you cancel your subscription, we will retain your account data and store history for a grace period of 90 days. After 90 days, all user data, including store history, settings, and end-buyer information, will be permanently deleted from our servers.

9. PROHIBITED USES

You agree not to use the Service:

• In any way that violates any applicable national or international law or regulation.
• To engage in fraudulent, illegal, or unauthorized dropshipping activities (e.g., selling counterfeit products, weapons, or prohibited items).
• To reverse engineer, decompile, or disassemble the Service.

10. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." SELLERPILOT OÜ MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICE OR THE INFORMATION, CONTENT, OR MATERIALS INCLUDED THEREIN.

11. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SELLERPILOT OÜ, ITS OFFICERS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES SHALL NOT BE LIABLE FOR ANY DAMAGES, INCLUDING INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (III) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL SELLERPILOT OÜ'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO SELLERPILOT OÜ IN THE LAST THREE (3) MONTHS.

12. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions.

Any dispute arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Harju County Court in Estonia.
